Responsibilities and Data Management

  1. Client Responsibility for Content
    All website content, including text and multimedia, must be provided by the client before work begins. It is the client’s sole responsibility to ensure the timely provision of this material to Code Pulse Apps
  2. Content Backup
    The client must maintain a backup of all existing website content before Code Pulse Apps begins any work. Any data loss or damage during this process will not be the responsibility of Code Pulse Apps.
  3. Scope of Services
    Code Pulse Apps is not obligated to perform data entry, web hosting, or custom artwork/graphic tasks unless explicitly agreed upon and paid for in advance. Any artwork, images, or text created by Code Brew Apps for the client will remain the property of Code Brew Apps unless otherwise agreed.

Timeline and Feedback

  1. Delivery Adjustments
    While Code Pulse Apps strives to meet estimated delivery timelines, certain factors, including deployment issues, third-party dependencies, and emergencies, may require adjustments to deadlines.
  2. Client Review Period
    Clients will have a 7-day period to review the design and content during development. If no feedback is provided within this timeframe, the material will be considered accepted.

Intellectual Property and Permissions

  1. Client Ownership and Permissions
    The client retains copyright for data, files, and graphic logos provided to Code Pulse Apps. However, the client is responsible for securing third-party permissions and indemnifies Code Brew Apps from claims related to unauthorized use.
  2. Alterations by Third Parties
    Code Pulse Apps is not liable for any changes made to the website by the client or a third party after deployment. Any required corrections may incur additional charges.

Cancellation and Payments

  1. Cancellation Fees
    A cancellation fee equivalent to the work completed will apply if the client terminates the service before completion. Non-payment of this fee or overdue amounts may result in legal action.
  2. Payment Obligations
    All fees must be paid in full and on time. Deductions, discounts, or settlements are not permitted unless explicitly agreed upon.

Support and Third-Party Services

  1. Support Post-Launch
    Free support is provided for one month post-launch, covering bug fixes and email assistance. Extended support or additional services are available under separate pricing packages.
  2. Third-Party Products/Services
    Code Pulse Apps does not guarantee third-party service performance. Any required upgrades or changes will be addressed separately, with revised costs and timelines.

Additional Work and Enhancements

​

  1. Scope Changes
    Any changes beyond the agreed scope will be treated as add-ons and billed separately. Clients will be informed of such charges in advance.
  2. Rework Requests
    Rework or modifications requested after client approval or progression to subsequent stages will incur additional charges.

Limitations of Liability

​

  1. Exclusions of Liability
    Code Pulse Apps is not responsible for any loss or damage caused by omissions, errors, or delays. Liability for third-party services is also excluded.
  2. Limitation on Damages
    Except in cases of personal injury or death caused by negligence, Code Pulse Apps is not liable for direct, indirect, or consequential damages, including loss of profit or property damage.

Approvals and Ownership

  1. Project Sign-Offs
    Work for subsequent stages will begin only after approvals and payments for prior stages.
  2. Final Ownership
    Upon project completion and final payments, all code and materials will be transferred to the client. Code Pulse Apps retains the right to showcase the project unless the client requests otherwise in advance.

Severability

​

  1. Contract Validity
    If any provision of this agreement is found to be invalid or unenforceable, the remaining provisions will remain in effect. Invalid provisions will be replaced with valid terms reflecting the original intent.
